Amendments to the Code of Business Conduct and Ethics
Effective March 1, 2009, the Board of Directors has modified our Code of Business Conduct and Ethics, including the following significant changes:
- Clarifying our alcohol and drug policy so that it explicitly applies to legal drugs (for example, prescription medications) that are acquired and/or distributed illegally (see "Alcohol and Illegal Drugs" section of the Code)
- Incorporating current policies regarding the required approvals for written contracts above a specified dollar value (see the "Protecting Progressive Assets" section)
- Revising our antitrust policy to alert employees that sharing with or obtaining from competitors certain business information, such as prices, rating methodologies or costs, directly or indirectly (other than from public records), may raise antitrust concerns and to require that appropriate approvals be obtained before entering into any such arrangements (see the "Antitrust" section)
- Adding a policy on how we conduct business internationally, including compliance with the requirements of the Foreign Corrupt Practices Act and local laws (see the new "International Business Practices" section of the Code)
